Terms & Conditions - JioSecure Solution

 

I/We hereby agree that the terms and conditions mentioned herein shall form an integral part of the accompanying 'Enrollment/Commercial Form (Collectively referred to as 'Agreement')

By acceptance of the 'Enrollment/Commercial Form', I/We signifies that I/We have read, understood and accepted the terms and conditions mentioned in the Agreement.

 

1.                SCOPE: Jio Things Ltd. ('Service Provider') will make available JioSecure Solution which includes Jio Bridge Devices and Jio Cameras and/or Other 3rd Party Branded Cameras ('Hardware') and allied platform services ('collectively referred to as 'Services') to me/us. The Hardware supplied pursuant to the Services will be provided on Use & Return basis to me/us. The details of delivery, installation of Hardware, and integration of platform Service including deliverables are stated in Annexure A.

2.                My/Our Obligations: I/We agree to make available:

a.          compatible Closed-Circuit Television (CCTVs) cameras systems (recorders) if applicable

b.          The other technical and accessories as may be required by Service Provider.

c.          In the event of loss, theft or non-availability of Hardware provided pursuant to this Agreement then I/We will have to procure new Hardware from Service Provider and Service Provider will be entitled to recover price for such replacement Hardware. If I/We fails to procure the replacement Hardware, then the same will amount to Discontinuation of Service.

d.          I/We agree that the Hardware provided to me/us will be in working condition and will carry warranty as per the warranty terms and conditions posted at Hardware Warranty Terms & Conditions

3.                Obligations of the Service Provider: Service Provider shall provide the Services including deliverables as stated in Annexure A.

4.                Usage and Return of Hardware: I/We agree to use the Hardware in strict compliance with all Applicable Laws, in adherence with the terms and conditions of this Agreement and any other document which includes user guide or manual, or as may be communicated by Service Provider, from time to time. I/We ensure that the use of the Services shall be lawful and not for any illegal or unethical purposes. I/We understand that the Hardware is provided on a Use & Return basis, and upon termination or expiry of this Agreement, I/We will return the Hardware to the Service Provider in working condition, subject to normal wear and tear.

5.                Purchase Order and Delivery: Post execution/acceptance of these terms and conditions, I/We will issue a purchase order (PO)/work order (WO) for availing Services as per the quantity and other relevant details stated in PO/WO.

6.                Cancellation and Refund: I/We agree that the orders placed by me are subject to cancellation policy of the Service Provider. The terms and conditions of cancellations and refunds are available at Cancellation & Refund Policy

7.                Title and Risk of Loss of Hardware: I/We agree that the title to the Hardware and other material provided by the Service Provider shall remain with the Service Provider, and I/We undertake to be responsible for risk of loss for Hardware and other material provided by Service Provider.

8.                Discontinuation of Services and Discontinuation or Termination Charges: I/We agree that in the event of discontinuation of Service, I/We shall be liable for the consequences and charges mentioned in Annexure - E.

9.                Commercial Terms, Invoice frequency and Taxes: I/We agree and acknowledge that the Service Provider is entitled for fees/consideration/compensation ('Fees') as more particularly stated in Annexure C from me/us. The Service Provider shall raise invoice either on performance of Service or depending upon the nature of Service, as per the agreed bill cycle for the Service. I/We agree to pay the Fees in an advance basis and in the event of delay I /We will be liable for interest at the rate of 2% per month.I/We further agrees that the payment of Fees are exclusive of applicable GST and subject to compliance with applicable tax laws. I/We also agree that we are liable to make payment towards integration cost, for integration of any software with the platform services of the Service Provider.

10.            Suspension of Services: I/We may request a temporary suspension of services, subject to Service Provider's approval and conditions including (a) providing at least 15 days prior written notice, (b) taking responsibility for safekeeping uninstalled Hardware's, (c) making full payment for the month of the suspension, (d) paying a suspension fee of Rs. 100 per Hardware per month plus taxes (not applicable in case of force majeure as defined hereinbelow) and (e) being liable for repair/replacement costs of Hardware's if they are not in good working condition upon restoration. I/We agree that if suspension period exceeds Three (3) months, then it will amount to Termination of Services for the relevant Services and provisions of Annexure C shall apply mutatis mutandis. I/We acknowledge that I/We need to provide at least Fifteen (15) days prior written notice to the Service Provider in case of restoration of Services.

11.            Term, Termination and Consequences of Termination: (a) This Agreement shall commence on Effective Date and shall remain valid for the period as more particularly stated in Annexure D unless terminated by either party ("Term"). In the event of termination of the Agreement by Service Provider for convenience then whichever Services falls under sub-point 2 of Annexure - E then the consequences stated in sub-point 2 are not applicable to me/us. In all other cases of termination, I/We agree that the consequences stated in Annexure E will be applicable.

12.            Confidential Information: Both the parties shall keep all the information confidential and shall comply with the terms of confidentiality as posted at Confidentiality Terms & Conditions

13.            Data Protection: I/We undertake to adhere with the Data Protections laws as may be applicable from time to time and shall comply with the terms of data protection as displayed at Data Protection Policy.

14.            Limitation of Liability: I/We agree that the Service Provider shall not be liable for any loss, damage or inconvenience caused due to me/us or any third party arising out of or in connection with the Services availed by me/us.

15.            Intellectual Property Rights: I/We agree and acknowledge that, all intellectual property rights in respect of Services shall vest with Service Provider or its Affiliates, or suppliers who are owners of such applications or their licensors wherever the context is applicable.

16.            Miscellaneous

a.          Compliance with Law: Each Party shall comply with applicable laws and obtain necessary licenses, permits, consents, and approvals to fulfill their obligations under this Agreement.

b.          Limitation of Liability: I/We agree that the Service Provider shall not be liable for any loss, damage or inconvenience caused due to me/us or any third party arising out of or in connection with the Services availed by me/us.

c.          Applicable laws and Jurisdiction: This Agreement shall be governed by the laws of India and Parties agree to submit to the jurisdiction of courts of Mumbai, India.

Annexure A

Part 1 - Deliverables by Service Provider to me/us:

1.                Jio Bridge Device or Jio Cameras and/or Other 3rd Party Branded Cameras (whatever is applicable)

a.          Delivery of the Jio Bridge Device Jio Cameras and/or Other 3rd Party Branded Cameras as per the order specifications.

b.          Provision of necessary documentation and user manuals for the Jio Bridge Device Jio Cameras and/or Other 3rd Party Branded Cameras.

2.                JioSecure VMS (Video Management System)

a.          Delivery and activation of the JioSecure VMS.

b.          Provision of software subscription and access credentials for the VMS.

c.          Provision of necessary documentation and user manuals for the JioSecure VMS.

3.                JioSecure Cloud Storage Subscription

a.          Activation of the JioSecure Cloud Storage subscription as per the chosen plan.

b.          Provision of secure, scalable cloud storage for video surveillance data.

c.          Ensuring data encryption and access control for stored video data.

 

Part 2 - Support and Maintenance -

1.                Installation and Demo

a.          Coordination with third-party system integrators for the installation of the Jio Bridge Device or relevant camera (whichever is applicable), activation of existing surveillance infrastructure if applicable on JioSecure VMS (mobile app, web portal and desktop client) and JioSecure Cloud Storage.

b.          Provision of a comprehensive demonstration on the use and functionalities of the installed systems by the system integrators through the user manual.

2.                Customer Support

a.          Phone Support: Available on 1800-8899-444 from 08:00 AM to 08:00 PM, Monday to Saturday (except public holidays).

b.          Email Support: Accessible at businesscare@jio.com.

c.          Assistance with troubleshooting, configuration, and general inquiries regarding the delivered products and services.

d.          Providing regular updates and patches for the JioSecure VMS and ensuring the cloud storage service remains secure and operational.

 

Annexure B - Platform Services

Live View and Playback:

a.          Real-time monitoring of multiple camera feeds.

b.          Playback of recorded video.

Video Recording and Storage:

a.          Cloud storage for cameras based on the subscription plan chosen.

Camera Management:

a.          Integration and management of different types of Jio cameras, third-party integrated cameras and 3rd party recorders (if applicable)

User Management and User Access Control:

a.          Role-based access control to manage permissions for different users.

b.          Secure login and authentication mechanisms.

Event Management and Notifications:

a.          Motion detection and other smart alerts

Mobile and Remote Access:

a.          Mobile applications for remote viewing and management. (wherever applicable)

b.          Web-based interfaces for accessing the system from any location with internet access. (wherever applicable)

c.          Desktop client for accessing the system on site. (wherever applicable)

Health Monitoring:

a.          System health monitoring to ensure cameras and recorders are operational.

Device Dashboard:

a.          Connectivity status of surveillance infrastructure (cameras, recorders and Jio Bridge Device).

b.          Time and date stamp for surveillance devices going offline.

Archive Export:

a.          Export recorded video footage to various formats for sharing and archiving.

Scalability and Flexibility:

a.          Scalable architecture for adding cameras and storage as per needs (subject to deployment specifics)

b.          Flexible deployment options, including cloud-based, or hybrid solutions.
